Getty Images is heading to bankruptcy court with one message for marketers: nothing changes on your end.
The world’s largest stock photo and footage licensor is planning a prepackaged Chapter 11 filing.
This takes place after reaching agreement "with all of its major financial stakeholder groups on the terms of a comprehensive restructuring."
Members of the Getty family and affiliates of Koch Equity Development will invest up to $533 million in new equity and own the reorganized company outright.

Koch Equity Development will also provide up to $143 million in financing, and holders of $270 million in unsecured notes have agreed to retire them, per Reuters.
Getty said "there is no anticipated impact on content contributors, partners, customers, or employees," and expects to finish the restructuring by the end of 2026.
Chairman and co-founder Mark Getty calls the company "uniquely trusted around the world as the unparalleled leader in premium visual content."
This move reassures customers that licenses stay valid and libraries stay online; a reputation management move aimed at the marketers who buy from Getty.
From Failed Merger to Filing
Debt sits at the center of the story.
Getty reported about $2.1 billion in total debt as of June 30, against a market valuation of $20.74 million at Friday’s close, according to Reuters.
The planned $3.7 billion merger with Shutterstock was meant to ease that pressure, but the UK Competition and Markets Authority required Shutterstock to sell its editorial business.
This led Getty to send a termination notice on July 7 this year.
Second-quarter results explain why the deal mattered.
Revenue fell2.5% to $229.1 million, and active annual subscribers dropped 25.2% to 240,000.
Getty now earns more from a smaller customer base, making each remaining subscriber matter to its survival.
Additionally, the company is also working on an artificial intelligence angle.
It has its own commercially safe generator trained on its licensed library and an August MCP server that lets AI agents find and license its content.
And because a federal court in Northern California refused Stability AI’s motion to dismiss in April 2026, Getty’s claims over more than 12 million images move forward.
The Supplier Risk Behind Stock Imagery
Getty’s licensing business keeps running, and the filing still shows how a supplier’s balance sheet can become a marketer’s problem.
Its video collection reached 39 million clips at the end of June, up 11.7% year over year, according to Q2 results.
This library competes with text-to-video tools that now produce generic establishing shots and B-roll, which made up a large part of stock footage demand.
Getty Images’ restructuring highlights several lessons for marketers:
- Diversify vendors. Marketers should spread licensed visuals across several libraries so one supplier’s restructuring never stalls a campaign calendar.
- Keep license records. Teams should store the terms for every asset in market so promises like Getty’s are easy to verify.
- Match assets to the job. Brands should test generative tools for generic B-roll and keep cleared footage for work where provenance matters.
It's always important to remember that a promise of business as usual is only as strong as the funding behind it.
Our Take: What Does a Private Getty Stop Telling Us?
Going private ends the quarterly filings that showed how Getty was doing.
The August report, with its going-concern warning, put the doubt in writing for everyone to read.
We think that is the quiet cost of this deal, because a supplier this large will be much harder to read from the outside.

Marketers who license from Getty should ask directly for what a filing once showed, such as how long operations are funded and how contributors get paid.
A company that sells trust for a living should be able to answer those questions in plain terms, and we would keep asking until it does.
